Update on the Unfair Prejudice Remedy: Latest Article from Martha Maher
Martha Maher has recently written a publication which provides an update on the Unfair Prejudice Remedy.
It is fair to say that the difficult economic climate has manifested its impact on corporate relationships with a steady increase in the numbers of unfair prejudice petitions being brought. The effect of the Companies Act 2006 in this area has been fairly minimal. The main impact of this lies in the different style of drafting, which has produced rather longer but easier to read provisions.
Practitioners do need to be aware of the Companies (Unfair Prejudice Applications) Proceedings Rules 2009 (SI 2009/2469) which replace the 1986 Rules as from 1 October 2009. However the substantive rules remain largely the same.
The most apparent activity in relation to this area of law has of course been in the Courts, not least because of the number of cases that have found their way to the Court of Appeal. This article highlights some of the more interesting of those cases.
